Welcome to White Slate. These Terms and Conditions ("Terms") govern your use of our in-cab digital advertising services ("Services"). By booking a campaign or using our Services, you ("Advertiser," "you," "your") agree to be bound by these Terms.

1. Company Information

2. Service Description

White Slate provides a premium digital advertising platform that displays video and static advertisements on screens inside partner taxis and ride-sharing vehicles operating primarily in Kochi, Kerala, India. Our services include campaign management, content delivery, performance tracking, and reporting.

3. Advertiser Obligations

  • You are solely responsible for the content of your advertisements ("Ad Content") and warrant that you have all necessary rights, licenses, and permissions.
  • You must provide Ad Content in the format and specifications required by White Slate at least five (5) business days before the campaign start date.
  • You are responsible for the accuracy, legality, and compliance of your Ad Content with applicable laws including the Consumer Protection Act, 2019 and Advertising Standards Council of India (ASCI) guidelines.
  • You agree to comply with all applicable laws and regulations including but not limited to the Information Technology Act, 2000, and any amendments thereof.

4. Content Guidelines and Approval

All Ad Content is subject to our prior approval. We reserve the right to reject, remove, or request modification of any advertisement at our sole discretion. Prohibited content includes, but is not limited to:

  • Content that violates Indian laws or regulations.
  • False, misleading, or deceptive advertising claims.
  • Content promoting hate speech, discrimination, or violence.
  • Sexually explicit or inappropriate material.
  • Content infringing on intellectual property rights.
  • Promotion of tobacco, alcohol (where prohibited), firearms, or illegal substances.
  • Content containing malware, viruses, or malicious code.
  • Political advertising during election periods as per Election Commission guidelines.

5. Payment Terms and GST Compliance

All fees are quoted in Indian Rupees (INR) and are exclusive of applicable taxes. Goods and Services Tax (GST) at the prevailing rate will be added to your invoice as per Indian tax laws (GST No: 32AAECW2242H1ZN). Payment is due in full prior to the campaign start date unless otherwise agreed in writing.

  • We accept payments via bank transfer, UPI, or other approved methods.
  • GST invoices will be provided within 30 days of payment.
  • Late payments may attract interest charges as per our credit policy.
  • Failure to make timely payment may result in campaign suspension or cancellation.

6. Booking, Cancellation, and Refund Policy

Campaign bookings are subject to inventory availability and confirmation upon receipt of full payment.

  • Cancellations made more than 14 days before campaign start will receive a 75% refund (after deducting processing charges).
  • Cancellations made 7-14 days before campaign start will receive a 50% refund.
  • Cancellations made within 7 days of campaign start are non-refundable.
  • Refunds will be processed within 15 business days and are subject to applicable tax deductions.

7. Intellectual Property Rights

You retain all ownership rights to your Ad Content. By using our Services, you grant White Slate a non-exclusive, non-transferable, royalty-free license to use, reproduce, display, and distribute your Ad Content solely for the purpose of delivering the agreed Services.

White Slate retains all rights, title, and interest in its platform, technology, proprietary methods, and intellectual property. Any unauthorized use of our intellectual property is strictly prohibited.

8. Campaign Performance and Reporting

White Slate will use commercially reasonable efforts to deliver advertisements as scheduled. We provide campaign performance reports including estimated impressions, play counts, and other relevant metrics. However, we do not guarantee specific business outcomes such as leads, conversions, or sales.

Performance data is provided for informational purposes and may be subject to technical limitations or external factors beyond our control.

9. Data Protection and Privacy

We are committed to protecting personal data in accordance with the Digital Personal Data Protection Act, 2023, and our Privacy Policy. We collect and process minimal data necessary for service delivery and do not collect personal information from passengers without consent.

Advertisers are responsible for ensuring their Ad Content complies with applicable data protection laws. Please refer to our Privacy Policy for detailed information on data handling practices.

10. Limitation of Liability

To the maximum extent permitted by Indian law, White Slate's liability for any claims arising from these Terms or the Services shall be limited to the total amount paid by you for the specific campaign in question.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, whether arising in contract, tort, or otherwise.

11. Indemnification

You agree to indemnify, defend, and hold harmless White Slate, its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

  • Your Ad Content or any violation of these Terms.
  • Your breach of any applicable laws or third-party rights.
  • Any negligent or wrongful acts related to your use of our Services.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, government actions, strikes, pandemics, technical failures, or other force majeure events.

In such events, we will make reasonable efforts to minimize disruption and may offer campaign extensions or alternative arrangements where feasible.

13. Termination and Suspension

We reserve the right to suspend or terminate your access to our Services immediately without prior notice if:

  • You violate these Terms or applicable laws.
  • Your Ad Content is found to be harmful, offensive, or non-compliant.
  • You fail to make required payments.
  • We reasonably believe such action is necessary to protect our interests or comply with legal requirements.

Upon termination, all outstanding amounts become immediately due and payable.

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, including but not limited to the Indian Contract Act, 1872, Information Technology Act, 2000, Consumer Protection Act, 2019, and Digital Personal Data Protection Act, 2023.

Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Ernakulam, Kerala. All disputes shall first be attempted to be resolved through good faith negotiations and mediation before resorting to litigation.

15. Amendments and Updates

We reserve the right to modify these Terms at any time to reflect changes in our Services, applicable laws, or business practices. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect.

Your continued use of our Services after any modifications constitutes acceptance of the updated Terms. If you disagree with any changes, you may terminate your use of our Services.
